Terms of Service

By accessing or using PogStudio (“the Service”), you agree to be bound by these Terms of Service and all applicable laws. The Service is operated by InContext Solutions (“we,” “us,” or “our”). If you do not agree to these terms, do not use the Service.

PogStudio is a browser-based planogram editing and collaboration platform. It enables retail teams to create, visualize, share, and export shelf plans. Features include 2D and 3D planogram editing, product catalog integration, stakeholder sharing, and export to standard formats including JDA/Blue Yonder PSA.

Access to PogStudio is provisioned by InContext Solutions. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at development@incontextsolutions.com if you suspect unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these terms, misuse the Service, or whose associated organization no longer holds an active subscription.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation
• Upload content that infringes third-party intellectual property rights
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse-engineer, decompile, or disassemble any portion of the Service
• Use automated tools to scrape, crawl, or extract data from the Service without prior written consent
• Resell, sublicense, or otherwise transfer access to the Service to third parties

PogStudio and all underlying software, design, and content are the exclusive property of InContext Solutions and are protected by applicable copyright, trademark, and other intellectual property laws. Nothing in these terms transfers ownership of the Service or its components to you.

You retain ownership of all planogram data, product lists, and other content you create or upload through the Service (“Your Content”). By using the Service, you grant InContext Solutions a limited, non-exclusive license to store, display, and process Your Content solely as necessary to provide the Service to you.

The Service may display product information sourced from third-party catalogs (including Syndigo). Such data is provided for convenience and InContext Solutions makes no representations regarding its accuracy or completeness. You are responsible for verifying product dimensions and information before use in retail planning decisions.

We implement reasonable administrative, technical, and physical safeguards to protect Your Content. The Service is hosted on Microsoft Azure infrastructure in the United States. However, no internet transmission or electronic storage is completely secure, and we cannot guarantee absolute security.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCONTEXT SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless InContext Solutions, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

We reserve the right to modify or discontinue the Service (or any feature) at any time with or without notice. We may also update these Terms from time to time. Continued use of the Service after any such changes constitutes your acceptance of the new Terms. Material changes will be communicated by email or via a notice within the Service.

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Cook County, Illinois.
